Terms of Services

1. Agreement overview

These Terms of Service (“Terms”) govern the business writing and ghostwriting services (the “Services”) provided by Ādriyante (“Ādriyante,” “we,” “us,” “our”) to any company or individual that engages us (“Client,” “you”). By signing a proposal, statement of work, or invoice referencing these Terms, or by engaging Ādriyante for a project, you agree to be bound by them.

2. Services covered

Ādriyante provides written business content, including but not limited to:

  • Thought leadership articles and executive bylines
  • Case studies
  • Market trends and market analysis reports
  • Whitepapers
  • Executive ghostwriting (ongoing or per-piece)
  • Other business content as agreed in writing

The specific deliverables, word counts, number of revision rounds, and deadlines for each project are set out in a proposal, statement of work, or written project brief (“Project Brief”), which forms part of these Terms.

3. Engagement process

Unless otherwise agreed, engagements follow: (1) discovery call, (2) research and/or interviews, (3) draft delivery, (4) Client review and revisions, and (5) final delivery. Client cooperation — including timely feedback and access to relevant source material or interviewees — is required to meet agreed deadlines; delays caused by the Client may shift delivery dates accordingly.

4. Fees and payment

Fees are set out in the Project Brief or invoice for each engagement. Unless otherwise agreed:

  • A deposit of [X%] is due before work begins, with the balance due upon final delivery
  • Invoices are payable within [14/30] days of receipt
  • Late payments may incur a [X%] monthly late fee and may pause active work until resolved
  • Ongoing/retainer engagements are billed [monthly] in advance unless otherwise specified

5. Revisions

Each Project Brief specifies the number of included revision rounds. Revisions beyond that number, or requests that materially change the agreed scope, may be billed as additional work at Ādriyante’s then-current rate.

6. Ownership, exclusivity, and delivery of rights

Unless the Project Brief states otherwise, full ownership and exclusive rights to a completed deliverable transfer to the Client upon receipt of final payment. From that point, Ādriyante will not resell, republish, repurpose, or reuse that content, and will not claim public authorship of it.

Until final payment is received, drafts remain the property of Ādriyante and may not be published or distributed by the Client. Ādriyante retains the right to reference an engagement in its portfolio only in anonymized or aggregated form (e.g., industry and word count, with no identifying details) unless the Client agrees in writing to a named case study or testimonial.

Any source material, data, interview recordings, or brand guidelines provided by the Client remain the Client’s property at all times.

7. Confidentiality

Ādriyante treats all Client information, interview content, internal data, and unpublished drafts as confidential, both during and after an engagement, and will not disclose them to third parties except as needed to deliver the Services (e.g., a subcontracted editor bound by the same confidentiality obligations) or as required by law. Where a separate non-disclosure agreement is signed, its terms apply in addition to this section.

8. Client responsibilities

  • Provide accurate information, timely feedback, and access to relevant materials or interviewees
  • Confirm factual accuracy of case studies, data points, and quotes before publication
  • Ensure the Client has the right to share any source material provided to Ādriyante
  • Obtain any necessary internal or legal sign-off before publishing delivered content

9. Term, cancellation, and termination

An engagement begins on the date set out in the Project Brief and continues until deliverables are completed or, for retainers, until either party gives [30 days’] written notice to end the arrangement. If a Client cancels a project already underway, fees for work completed to date, plus any non-recoverable costs, remain payable.

10. Warranties and disclaimers

Ādriyante will perform the Services with reasonable skill and care consistent with professional writing standards. Ādriyante does not guarantee specific business outcomes (e.g., lead volume, press pickup, search rankings) resulting from published content, as these depend on factors outside our control.

11. Limitation of liability

To the fullest extent permitted by law, Ādriyante’s total liability arising from any engagement is limited to the fees paid by the Client for the specific deliverable giving rise to the claim. Ādriyante is not liable for indirect, incidental, or consequential damages, including lost profits or reputational harm.

12. Indemnification

The Client agrees to indemnify Ādriyante against claims arising from inaccurate information, unauthorized source material, or factual claims the Client directed Ādriyante to include, once the Client has approved the content for publication.

13. Independent contractor relationship

Ādriyante provides Services as an independent contractor. Nothing in these Terms creates an employment, partnership, or joint venture relationship between Ādriyante and the Client.

14. Governing law

These Terms are governed by the laws of [your state/country], without regard to conflict-of-law principles. Disputes will be resolved in the courts of [your jurisdiction], or by [arbitration/mediation] if the parties agree to that in writing.

15. Changes to these terms

Ādriyante may update these Terms from time to time for new engagements; the version signed or referenced at the start of an engagement governs that engagement unless both parties agree to a change in writing.
